1. Préambule et lecture conjointe

Les présentes conditions s'appliquent à toute personne qui dépose une vidéo (« l'Utilisateur ») sur la plateforme Reelast à la demande d'un commerçant utilisateur de la plateforme (« le Marchand »).

Reelast est l'éditeur de la plateforme technique permettant la collecte, l'hébergement et la diffusion des vidéos UGC. Reelast n'utilise pas les vidéos pour son propre compte ; elle agit en qualité de prestataire technique du Marchand.

Les présentes conditions doivent être lues conjointement avec la Politique de confidentialité de Reelast, accessible à l'adresse www.reelast.com/politique-de-confidentialite, ainsi qu'avec les éventuelles conditions propres du Marchand.

2. Définitions

• Vidéo : tout contenu vidéo (image, voix, mentions à l'écran, environnement filmé) déposé par l'Utilisateur.
• Marchand Initiateur : commerçant à la demande duquel la Vidéo est déposée et qui exploite la Vidéo sur son site et ses canaux marketing.
• Marchands Syndiqués : autres marchands utilisateurs de la plateforme Reelast à qui la Vidéo peut être communiquée pour diffusion, exclusivement avec l'accord préalable et écrit du Marchand Initiateur.
• Reelast : Reelast, société établie au 200-4388, rue Saint-Denis, Montréal (Québec) H2J 2L1, Canada, en tant que prestataire technique.

3. Garanties de l'Utilisateur

En déposant une Vidéo, l'Utilisateur déclare et garantit :

• être le créateur ou le titulaire des droits sur la Vidéo et disposer de la capacité juridique pour conclure le présent accord ;
• avoir obtenu l'autorisation expresse de toute personne identifiable apparaissant dans la Vidéo, et, lorsqu'un mineur figure dans la Vidéo, avoir obtenu l'autorisation du titulaire de l'autorité parentale ;
• garantir que la Vidéo ne porte atteinte à aucun droit de tiers (droit à la vie privée, droit à l'image, droits d'auteur, marques, secrets) ni à aucune disposition légale ou réglementaire ;
• que la Vidéo ne contient ni propos illicites, ni contenus offensants, discriminatoires, diffamatoires, à caractère sexuel ou portant atteinte à la dignité humaine.

4. Âge minimal et mineurs

Le dépôt d'une Vidéo via Reelast est réservé aux personnes âgées d'au moins dix-huit (18) ans, ou aux mineurs âgés de plus de quatorze (14) ans au Québec et de plus de quinze (15) ans en France, ayant obtenu l'autorisation expresse du titulaire de l'autorité parentale.

En déposant une Vidéo, l'Utilisateur certifie remplir cette condition d'âge et, s'il s'agit d'un mineur, disposer de l'autorisation requise. Le titulaire de l'autorité parentale peut à tout moment demander le retrait d'une Vidéo dans laquelle figure un mineur, à l'adresse confidentialite@reelast.com.

5. Cession de droits sur la Vidéo

Sous réserve du droit de retrait du consentement prévu à la section 7 ci-après, l'Utilisateur concède :

• au Marchand Initiateur, une licence non exclusive, gratuite, mondiale et transférable aux Marchands Syndiqués avec accord écrit du Marchand Initiateur, sur la Vidéo, pour la durée précisée à la section 6, incluant les droits suivants :
• droit de reproduction : reproduire, copier, stocker et héberger la Vidéo sur tout support numérique ou physique ;
• droit de diffusion : diffuser ou communiquer la Vidéo au public sur les supports du Marchand Initiateur et, le cas échéant, des Marchands Syndiqués (site e-commerce, pages produits, pages de catégorie, applications, réseaux sociaux, infolettres, publicités en ligne) ;
• droit d'adaptation : modifier, adapter, découper, sous-titrer, doubler, traduire, ajouter des logos, musiques, textes ou visuels, à la condition que ces modifications ne dénaturent pas le sens du contenu original et ne portent pas atteinte à la dignité de l'Utilisateur ;
• droit de communication aux Marchands Syndiqués : le Marchand Initiateur peut autoriser par écrit la communication de la Vidéo à un ou plusieurs Marchands Syndiqués pour les mêmes finalités. L'Utilisateur, en déposant sa Vidéo, accepte que la diffusion puisse s'étendre à ces Marchands Syndiqués.

Reelast n'est destinataire de la Vidéo qu'en sa qualité de prestataire technique du Marchand Initiateur. Reelast n'utilise pas la Vidéo pour son propre compte (notamment pour son propre marketing ou pour entraîner des modèles d'intelligence artificielle).

6. Durée

Sauf retrait du consentement par l'Utilisateur, la licence est consentie pour toute la durée légale de protection des droits d'auteur dans les pays où la Vidéo est exploitée. La diffusion effective par le Marchand Initiateur (et, le cas échéant, par les Marchands Syndiqués) est limitée à la durée de leur abonnement à la plateforme Reelast.

7. Retrait du consentement et opposition

L'Utilisateur peut à tout moment retirer son consentement à la diffusion de la Vidéo, à l'adresse privacy@reelast.com. Le retrait du consentement met fin aux nouvelles utilisations de la Vidéo dans un délai raisonnable et au plus tard sous trente (30) jours, sans effet rétroactif sur les exploitations déjà réalisées avant la prise en compte de la demande.

Toute clause prévoyant un caractère « irrévocable » de la licence est sans effet à l'égard du retrait du consentement portant sur les Renseignements personnels de l'Utilisateur, conformément à l'article 7, paragraphe 3, du RGPD et à l'article 14 de la Loi 25 du Québec.

8. Droit à l'image et à la personnalité

L'Utilisateur autorise expressément le Marchand Initiateur (et, le cas échéant, les Marchands Syndiqués) à utiliser son image, sa voix, son nom ou son pseudonyme, tels qu'ils figurent dans la Vidéo, pour les finalités décrites à la section 5, dans les limites de la durée prévue à la section 6 et sous réserve du droit de retrait prévu à la section 7.

Aucune utilisation ne pourra être réalisée dans un contexte diffamatoire, trompeur ou portant atteinte à la dignité de l'Utilisateur ou des personnes représentées.

9. Liberté éditoriale du Marchand

Le Marchand Initiateur conserve une liberté discrétionnaire quant à l'utilisation de la Vidéo. Le dépôt d'une Vidéo n'entraîne aucune obligation de publication, de diffusion ou d'exploitation, totale ou partielle. Le Marchand Initiateur peut, à tout moment, publier, ne pas publier, différer la publication, limiter la diffusion, modifier le contexte d'affichage ou retirer une Vidéo, sans justification ni préavis et sans que cela ouvre droit à indemnisation au profit de l'Utilisateur.

Le Marchand Initiateur procède à un examen humain de chaque Vidéo avant publication. Aucune publication automatique n'a lieu sur la plateforme Reelast.

10. Renseignements personnels et droits

Le dépôt et la diffusion d'une Vidéo impliquent le traitement de Renseignements personnels (image, voix, nom ou pseudonyme, informations de commande, données techniques) traités pour le compte du Marchand Initiateur.

Conformément au Règlement (UE) 2016/679 (RGPD), à la Loi 25 (Québec) et à la LPRPDE (Canada), l'Utilisateur dispose des droits d'accès, de rectification, d'effacement, d'opposition, de limitation et de portabilité, ainsi que du droit de retirer son consentement à tout moment et du droit de définir des directives post mortem.

L'ensemble de ces droits, les modalités d'exercice et la liste des sous-traitants sont détaillés dans la Politique de confidentialité de Reelast, accessible à www.reelast.com/politique-de-confidentialite. Pour exercer vos droits : privacy@reelast.com.

L'Utilisateur peut également déposer une plainte auprès de la CNIL (France), de la CAI (Québec) ou du CPVP (Canada).

11. Responsabilité

L'Utilisateur demeure seul responsable du contenu de la Vidéo et garantit Reelast et le Marchand Initiateur contre toute réclamation de tiers liée à la Vidéo, notamment en cas d'absence d'autorisation d'une personne identifiable, d'atteinte aux droits d'auteur ou de toute violation des présentes.

12. Droit applicable et juridiction

Les présentes conditions sont régies :

• par le droit français, lorsque l'Utilisateur réside en France ou que le Marchand Initiateur est établi en France ;
• par le droit de la province du Québec, lorsque l'Utilisateur réside au Canada ;
• à défaut, par le droit de la province du Québec, sans préjudice de la protection accordée par les lois impératives du pays de résidence de l'Utilisateur.

Les présentes conditions ne dérogent pas aux dispositions impératives de protection du consommateur applicables au lieu de résidence de l'Utilisateur.

1. Preamble and joint reading

These terms apply to any person who uploads a video (the “User”) on the Reelast platform at the request of a merchant using the platform (the “Merchant”).

Reelast is the operator of the technical platform enabling the collection, hosting and distribution of UGC videos. Reelast does not use videos for its own account; it acts as the technical service provider of the Merchant.

These terms must be read together with Reelast’s Privacy Policy, available at www.reelast.com/politique-de-confidentialite, as well as the Merchant’s own terms where applicable.

2. Definitions

• Video: any video content (image, voice, on-screen text, recorded environment) uploaded by the User.
• Initiating Merchant: the merchant at whose request the Video is uploaded and which exploits the Video on its website and marketing channels.
• Syndicated Merchants: other merchants using the Reelast platform to whom the Video may be communicated for distribution, exclusively with the prior written consent of the Initiating Merchant.
• Reelast: Reelast, a company located at 200-4388, rue Saint-Denis, Montréal, Quebec H2J 2L1, Canada, acting as technical service provider.

3. User warranties

By uploading a Video, the User represents and warrants:

• that they are the creator or the rights holder of the Video and have the legal capacity to enter into this agreement;
• that they have obtained the express authorisation of any identifiable person appearing in the Video and, where a minor appears, the authorisation of the holder of parental authority;
• that the Video does not infringe any third-party rights (privacy, image, copyright, trademarks, trade secrets) or any legal or regulatory provision;
• that the Video does not contain any unlawful, offensive, discriminatory, defamatory, sexual content or content affecting human dignity.

4. Minimum age and minors

Uploading a Video via Reelast is restricted to persons aged eighteen (18) or older, or to minors over fourteen (14) years of age in Quebec and over fifteen (15) years of age in France, with the express authorisation of the holder of parental authority.

By uploading a Video, the User certifies they meet this age requirement and, if they are a minor, that they have obtained the required authorisation. The holder of parental authority may at any time request the removal of a Video in which a minor appears, by writing to privacy@reelast.com.

5. Licence grant on the Video

Subject to the right to withdraw consent set out in section 7 below, the User grants:

• to the Initiating Merchant a non-exclusive, free, worldwide and transferable licence to Syndicated Merchants with the written consent of the Initiating Merchant, on the Video, for the duration set out in section 6, including the following rights:
• reproduction right: reproduce, copy, store and host the Video on any digital or physical medium;
• distribution right: distribute or communicate the Video to the public on the Initiating Merchant’s media and, where applicable, on the Syndicated Merchants’ media (e-commerce site, product pages, category pages, applications, social networks, newsletters, online advertising);
• adaptation right: modify, adapt, edit, subtitle, dub, translate, or add logos, music, text or visuals, provided that such modifications do not distort the meaning of the original content nor affect the User’s dignity;
• communication to Syndicated Merchants: the Initiating Merchant may authorise in writing the communication of the Video to one or more Syndicated Merchants for the same purposes. The User, by uploading the Video, accepts that distribution may extend to such Syndicated Merchants.

Reelast is a recipient of the Video only in its capacity as technical service provider of the Initiating Merchant. Reelast does not use the Video for its own account (including for its own marketing or to train artificial intelligence models).

6. Duration

Unless consent is withdrawn by the User, the licence is granted for the full legal duration of copyright protection in the countries where the Video is exploited. Actual distribution by the Initiating Merchant (and, where applicable, by the Syndicated Merchants) is limited to the duration of their subscription to the Reelast platform.

7. Withdrawal of consent and objection

The User may at any time withdraw their consent to the distribution of the Video, at privacy@reelast.com. Withdrawal of consent terminates any further use of the Video within a reasonable time and at the latest within thirty (30) days, without retroactive effect on uses already made before the request was processed.

Any clause providing that the licence is “irrevocable” is of no effect with respect to the withdrawal of consent regarding the User’s Personal Information, in accordance with article 7(3) GDPR and section 14 of Quebec’s Law 25.

8. Image and personality rights

The User expressly authorises the Initiating Merchant (and, where applicable, the Syndicated Merchants) to use their image, voice, name or username, as they appear in the Video, for the purposes described in section 5, within the duration set out in section 6 and subject to the right of withdrawal set out in section 7.

No use shall be made in a defamatory, misleading context or in a context affecting the dignity of the User or the persons depicted.

9. Editorial freedom of the Merchant

The Initiating Merchant retains discretionary freedom over the use of the Video. Uploading a Video does not entail any obligation to publish, distribute or exploit, in whole or in part. The Initiating Merchant may at any time publish, not publish, postpone publication, limit distribution, change the display context or remove a Video, without justification or prior notice and without giving rise to compensation in favour of the User.

The Initiating Merchant performs a human review of each Video before publication. No automatic publication takes place on the Reelast platform.

10. Personal Information and rights

Uploading and distributing a Video involves the processing of Personal Information (image, voice, name or username, order information, technical data) processed on behalf of the Initiating Merchant.

Under Regulation (EU) 2016/679 (GDPR), Law 25 (Quebec) and PIPEDA (Canada), the User has rights of access, rectification, erasure, objection, restriction and portability, as well as the right to withdraw consent at any time and the right to give post-mortem directives.

All these rights, the procedures for exercising them and the list of subprocessors are detailed in Reelast’s Privacy Policy, available at www.reelast.com/politique-de-confidentialite. To exercise your rights: privacy@reelast.com.

The User may also lodge a complaint with the CNIL (France), the CAI (Quebec) or the OPC (Canada).

11. Liability

The User remains solely responsible for the content of the Video and warrants Reelast and the Initiating Merchant against any third-party claim related to the Video, in particular in case of lack of authorisation from an identifiable person, copyright infringement or any breach of these terms.

12. Governing law and jurisdiction

These terms are governed:

• by French law where the User resides in France or where the Initiating Merchant is established in France;
• by the law of the Province of Quebec where the User resides in Canada;
• otherwise, by the law of the Province of Quebec, without prejudice to the mandatory consumer protection laws applicable at the User’s place of residence.

These terms do not derogate from the mandatory consumer protection provisions applicable at the User’s place of residence.
